The tokenization or digitization of the investment is carried out through a participatory loan, whereby Domoblock receives the loan from investors in exchange for repaying it with interest within a specific term agreed upon in the contract.

The participatory loan is an efficient legal structure that allows for the channeling and structuring of investments in all types of real estate projects. It is a partnership that allows the lender (investor) to share in the profits of the project they finance, receiving variable interest determined based on the project’s progress.

2.1. Registration

If you want to invest in the opportunities presented by Domoblock on its platform, the first step you must take is to register.

How can you do this? By accessing the platform:

Once you've registered, you'll receive an email in your inbox to verify your account and complete the registration process. If you haven't received it yet, be sure to check your spam folder. To verify, click the link we sent you in the email, and that's it! Your account is now registered.

After completing registration, the platform will automatically guide you through the verification process (KYC). The purpose is to ensure regulatory compliance and provide you with a secure investment experience.

2.2. Verification

2.2.1. Personal information

To get started, indicate whether you will be investing through a company or as an individual. Then, you will see the three types of information you need to complete:

Complete the KYC process by providing your personal information, financial information, and completing video identification.

First, you'll be asked to provide your personal information, such as your first name, last name, date of birth, nationality, country of residence, address, city, ZIP code, and contact information.

You will then be asked to indicate whether or not you are a U.S. citizen or a politically exposed person.

Note: Remember that a politically exposed person is someone who has been entrusted with a prominent public function (such as high-ranking officials, military personnel, or senior executives).

Finally, complete the personal information section by indicating your profession.

We’d like to learn more about your financial situation, including your regular income, the source of the funds you plan to invest in Domoblock, and the percentage of your income that this investment represents.

2.2.2. Financial Information

Next, we’d like to learn about your investment interests, find out how much volatility you’re willing to accept, what your investment goals are, and what your investment time horizon is.

It’s important that you understand the financial instruments Domolock offers and the risks associated with them; otherwise, we won’t be able to approve your profile.

That is why we ask whether you are familiar with the financial instruments offered by Domoblock and whether you have invested in unlisted companies managed by yourself or by others. You must answer “Yes,” because you agree to acknowledge the security token; otherwise, we will not be able to validate your identity and the verification process cannot be completed.

Basically, a security token is a token that represents a traditional financial instrument, such as a bond, a company’s equity, or a profit-sharing loan in a company.

Financial Information: Would you like to be treated as a professional investor?

Once you have confirmed the above, you will be asked to indicate whether you wish to be treated as a professional investor. If you choose to be treated as one, it is because your main activity is investing or because you plan to invest more than €10,000 per transaction.

2.2.3. Video identification

Next, you will be asked to provide video identification, which involves taking a photo of the front and back of the ID document of your choice: passport, ID card/residence permit, or driver’s license.

Remember to consent to the processing of your personal data, and if you wish, you can review the terms and conditions as well as the privacy policy.

Grant permission to access your device's camera. You'll use it to take photos of your document and a selfie of yourself.

Once you've taken the photos, a thank-you message will appear, and you'll click the "Finish" button.

Once the process is complete and if everything went well, your account will be approved. Otherwise, it will be sent for review, and you'll be notified of the issue so you can resolve it.

2.3. Investment Method Configuration

Once this process is completed, we will ask how you would like to invest, either via blockchain or by bank transfer.

2.3.1. Bank transfer

If you come from a traditional investment background and your goal is to invest in euros and receive returns in euros as well, don’t worry—you can still enjoy investing with Domoblock without needing any knowledge of blockchain.

You can invest directly via bank transfer through our payment gateway. (The minimum investment using fiat currency is €200).

- If you have your own wallet: You’ll need to select “Yes” if you want to connect your wallet.

- If you don’t have your own wallet: we’ll create one for you. You’ll just need to add your bank account.

If you selected bank transfer and have more than one wallet, you can then choose how to withdraw your capital gains—either through DAIS or via bank transfer to your account.

2.3.2. Blockchain

If you want to invest via blockchain, you must add a wallet to your profile. You will need DAI to do so, and the minimum investment amount is €200.

3.1. Explore Investment Opportunities

On the left-hand side of the platform, you'll find the "Opportunities" section. This is where you'll find all the available investment projects.

At the top of the page, you'll find useful filters that let you sort through each one:

Highlights project status, profitability, and date
  • Name: Use this if you have a specific project in mind; just start typing its name here and the list will update automatically.
  • Project status: You will see a drop-down menu with the available options. This filter lets you identify projects that have already finished, those that are active, or those about to be launched. Select the option that matches your search.
  • Return: Use this filter to sort opportunities by their profit potential. Arrange projects from highest to lowest return, or vice versa.
  • Date: This filter lets you sort projects by their start or end date.
  • Reset filters: Click here if you want to view the section exactly as you found it, in its default state.

Once you've explored them, you can view the details of each opportunity to help you decide whether to invest. You'll find:

  • Project Name: This will give you an idea of what the investment entails.
  • Project status: This will help you determine what stage the project is in. If it says “Under review,” it means the project is about to launch; if it says “Funded,” it means construction is already underway. “Sold” and “Dividend distribution” mean exactly what they say.
  • Estimated timeline: The amount of time it will take to purchase, renovate, and sell the property once financing is secured.
  • Annual return: This refers to the annualized return you will receive as capital gains once the project is completed.

If you click on “More details,” you’ll find all the information related to the project.

You have access to all the documentation related to the investment opportunity, including the Whitepaper, investment dossier, and token subscription agreement. These documents will help you better understand the opportunity and make an informed investment decision.

3.2. How to Deposit and Withdraw Funds in Euros

To get started, from the home screen, go to the menu on the left and click on “Digital Wallet.” Two options will appear. To manage your funds in euros, select “In euros.” Here you’ll find options to deposit, withdraw, and view your transactions in this wallet.

3.2.1. Deposit Money

First, go to the “Deposit” section, where you’ll find two options: “Bank Transfer” and “Credit Card.”

1/ By bank transfer

If you select "Bank Transfer," you will be guided through a series of steps to complete the transfer. It's as if you were making a transfer to yourself from your bank; that's why the IBAN you see there is unique and exclusive—it's directly linked to your Domoblock wallet.

The steps you must follow are: access your bank's application, transfer the money you want to charge to your digital wallet using this IBAN, click on the orange squares to copy the code and then paste it into your bank's application.

Please note that it may take between 24 and 72 business hours for the balance to appear in your wallet.

2/ By credit card

Here, simply enter the amount you want to deposit in the “Amount to Deposit” field

You'll be charged a small fee of 0.5%. For example, if you deposit €200, you will be charged an additional €1. This fee is split, meaning that 0.5% is paid by the investor and the rest is paid by Domoblock.

Once you have the amount you want to deposit ready, click the “Make Transaction” button. It’s important to remember that the maximum per credit card transaction is €2,400.

Once you click, a payment link will be generated, and a message will appear indicating that the payment link has been generated and redirecting you to the payment gateway. To complete the payment, click “Go to the payment gateway.”

3.2.2. Withdrawing money

If you don't have a linked account yet, the first thing you need to do is link one. To do so, click "Link Account":

A window will open where you will be asked to provide the following information:

  • Account alias: Enter a name for your account. This will help you identify it later if you link more than one account.
    If you plan to link only one account, we recommend using your own name.
  • IBAN number: First, select the country to which the account belongs, then enter the IBAN corresponding to your account. Please note: when entering your IBAN, only enter the numbers after selecting the country. Do not include the initial letters. If you do, the account will not be linked correctly.
    Once your account is linked, this step will not be required for future withdrawals.
  • BIC Code: Finally, enter your account's BIC code.

Withdrawal with linked account: If you already have a linked account, you only need to click on the "Request withdrawal" option. A window will open where you will have to select the bank account where you wish to make the withdrawal and the amount to withdraw in euros. Once your bank account is linked, you can click on 'Request withdrawal', enter the amount you wish to send and the available balance will be transferred directly to your bank within 24 to 72 hours.

3.3. How to Invest Using Blockchain

If you prefer to invest using crypto assets through the blockchain, you can also do so with Domoblock.

First, go to Digital Wallet in the left-hand menu. Once there, select On blockchain.

You will then be redirected to the Manage Wallets section. From there, you can add your wallet by clicking Add new wallet.

When you click 'Add new wallet', a window will open showing the list of wallets authorized to operate on Domoblock, known as the Whitelist.

What does this mean? It means that even if you connect your MetaMask wallet correctly, you won’t be able to perform any transactions unless your wallet address has been added to the Domoblock whitelist beforehand. This is a crucial security measure to ensure the integrity of transactions. If you’ve already verified that your wallet is on the Domoblock whitelist, it’s time to add it.

Now, first make sure you have your MetaMask account open on your computer.

Make sure you've selected the correct wallet in MetaMask. If you have multiple accounts, make sure you're connecting the one you want to use with Domoblock. You can go to the top of the MetaMask window and click the dropdown menu to switch accounts.

When you return to Domoblock, click “Add wallet.”

A pop-up window will appear from MetaMask asking you to confirm or sign the connection.

Click'Confirm' to authorize the connection.

Please wait while the connection is being processed. Do not close the screen.

That’s it! Your wallet has been successfully added to Domoblock and will be displayed as shown below.

3.4. How to invest

Once you’ve explored the opportunities, selected the one you want to participate in, and deposited funds into your digital wallet, it’s time to invest.

Please note that you can only invest when a project is in the “Active” status; this update occurs at a specified date and time. To receive notifications about the upcoming opening of an investment opportunity, we invite you to join our Telegram community, where we keep you informed in real time.

Once you've clicked the "invert" button, you'll need to wait for the inversion data to load:

The interface where the financing options are presented is shown below. The"Digital Wallet" and"Blockchain" options (if connected) are briefly pointed out.

Below are the most recurring investment options, if you plan to invest a different amount, click on the "Customize" button. A text field will appear just below, where you can enter the number of shares you want to purchase.

Important: You must enter the number of shares, not the amount in euros (€).

If you want to customize the number of shares, click “Customize,” and a text field will appear on your screen where you can enter the number of shares you want to invest.

If one of the participation boxes corresponds to the participation you want to make, by clicking on it you will find at the bottom the details of the future investment: the "Amount to invest in Euros", the "Estimated return" which can be viewed on an annualized or absolute terms and the "Estimated project duration".

If, on the other hand, you have customized the number of shares, once you enter the number in the text field, you will see all the details of the future investment at the bottom of the page: the“Amount to Invest in Euros,” the“Estimated Return”(which can be viewed on an annualized or absolute basis), and the“Estimated Project Duration.”

Once you agree with the number of shares, you must continue by clicking on the "I agree to subscribe to the legal terms and conditions of the contract" button. This step represents the signing of the subscription agreement for the acquisition of shares, previously referred to as the whitepaper.

Once you have completed the previous steps and confirmed that everything is correct, click the "Reserve" button to finalize your investment reservation.

Next, a message will appear on the screen explaining the next steps to complete your investment. We’ll explain them here as well: If your reservation was made before the funding goal was reached, you’ll receive an email confirming that your investment was successful. If, on the other hand, your reservation was made after the funding goal was reached, we’ll also notify you by email.

4.1 Dashboard

One of the platform's new features is the new control dashboard. To access it, click "Dashboard" in the main menu.

Below, you will find the following sections: Financial Summary, Transactions, My Investments, and Documents.

4.1.1. View your financial report

In this section, we’ll walk you through the “financial summary” section step by step.

Below, we’ll explain each of the metrics available in the financial summary:

1. Available balance: This is the total amount of money you currently have in your digital wallet, which is displayed in the main menu.

2. Average annual return: This percentage represents the annualized return generated by your closed investments. It is important to note that it is calculated only on completed projects, as it would not make sense to show the return on a project that is still ongoing.

3. Current investments: This shows the number of projects in which you currently have capital invested.

4. Total invested capital: This is the amount of capital currently tied up in active projects.

5. Capital invested in progress: This is the amount of capital currently tied up in active projects.

6. Total interest earned: this is the total amount of euros you have earned thanks to your closed investments.

7. Estimated interest to be received: This is a projection of the interest in euros that your ongoing investments are expected to generate.

8. Withdrawn principal: Shows you the total principal you have withdrawn from your digital wallet to your bank so far.

Finally, the “Investment Trends” chart will allow you to track the performance of your investments and get a more comprehensive view of all these metrics. In fact, you can download this chart in SVG, PNG, or CSV format. You can also filter the data to see only what interests you.

4.1.2. View your transactions

In this section, we'll explore the "Transactions" tab

When you go to the 'Transactions' tab , the transactions displayed are one-time transfers of funds from your digital wallet to one of the projects. Just below that, under 'Investments' (which is usually the default view), you’ll find all capital transactions related to your investments, regardless of the project. For example, if you’ve made three investments in the same project, you’ll see the three individual transactions here, unlike the 'My Investments' tab where they’re grouped together.

To make the search easier, you can filter the movements by date range, by type of transaction, either in euros or via blockchain, and also by amount.

It’s important to note that, on the web version, this view shows the details of each transaction. In the mobile version of the platform, to view detailed information for each transaction, simply tap on the transaction you’re interested in.

Next, we have the“Transfers to Portfolio” sub-tab. Here you’ll see the fund transfers made to your portfolio from projects that have been completed or that have made a capital or interest repayment. You can also filter these transactions by date and amount, just like in the previous example.

4.1.3. Keep track of your investments

In this section, we'll explore the "My Investments" tab. Here you'll find all the investments you've made, grouped by project.

By default, you'll see the "Digital Wallet" button. This section displays all the investments you've made using euros in the traditional way. For each investment, you'll see key information such as the Project, Term, Expected Return, Capital Invested, Current Project Status, and the "More Info" button. You can also filter "My Investments" using the buttons in the table.

  • In progress: these are investments that are currently active
  • Pending processing: These are completed investments for which you can claim the returns generated.
  • Closed: These are completed and fully managed investments.

Click the“More Info”button if you’d like to learn more about this investment.

If the project you're viewing has already ended, you'll find a "Return on Investment" button here so you can request a refund.

If you are viewing a project that has already been completed and you have withdrawn your investment, you will see a screen similar to the one shown below.

If you want to view the transactions made via "Blockchain," only the transactions associated with the wallet currently connected will be displayed. The information is organized in the same way as in "Digital Wallet."

4.1.4. Download your documents

Now let's explore the"Documents" tab.

Here you’ll find all subscription contracts related to your investments on Domoblock. This section contains what was previously referred to as the whitepaper—the agreement between you and Domoblock for each project.

You will see a list of all the projects you have invested in. For each one, the project name and contract creation date are displayed. You can also download each document in PDF format.

4.2. Learn about the Referral Program

In the left-hand panel, look for the “Referrals” section. There, you’ll find all the information you need to join our Referral Program.

We’d like to take this opportunity to explain how the Domoblock Referral Program works, which you can explore on the platform. It’s a great way for both you and your friends to earn extra rewards while investing. Before we begin, there are two important points to note:

  • Referral program bonuses are not managed directly through the platform. Once the project is completed, bonuses are credited to the investor’s portfolio as additional investment returns.
  • You can check the status of your rebates in the Excel file we send via email with each property purchase.
  • To access the referral program, go to the Referrals section in the menu on the home page.

First, visit the Program Conditions section, where you will find all the information related to the referral program and answers to any questions you may have.

You might be wondering, "What do I get for inviting a friend?"

It's very simple: for every friend you invite to Domoblock, you earn €50 and your friend also earns €50. That way, you both start off with a head start!

How do I unlock the bonus? This bonus is unlocked in two key steps. Step 1: When your referred friend makes their first investment of at least €500, you, as a referrer, will receive 50 and 100 points that you can use whenever you want. In addition, your friend will have his or her €50 bonus unlocked. Secondly, if that same friend makes a second investment of at least 500€, then he or she will be able to use or redeem his or her bonus on the project of his or her choice.

It is very important to note that if the friend does not make that second investment, his or her bonus will remain pending and cannot be redeemed with just one investment. It is also important to remember that both you and your friend have 6 months from the time the bonus is unlocked to use it.

Here’s a quick guide on how to do it. First, make sure your friend has already signed up for Domoblock. Then, go to the referral form, which you’ll find right there:

First, you can send us a message via the contact form, and we’ll respond as soon as possible. You also have the option to request a personalized video call with one of our specialists. The purchase of tokens by the borrower (Domoblock) constitutes the lender’s (investor’s) subscription to a non-tokenized participatory loan (Project).

The returns resulting from the project between Domoblock and the investor (whether an individual or a legal entity) will be considered capital gains and will be subject to withholding tax.

‍Domoblock is obligated to report and pay these returns to the Tax Agency (pursuant to Article 75.1.b of the Personal Income Tax Regulations and Article 128 of the Corporate Income Tax Law).

5.1. How does Domoblock fulfill its tax obligations?

Domoblock will withhold taxes on the proceeds (income) from the sale of the project, in accordance with the following terms:

  • The taxable base will be equal to the capital gain, calculated as the difference between the total amount received and the initial investment.
  • The tax rate applied by Domoblock to individuals or legal entities with tax residency in Spain will be 19%.

    * This payment may be deductible from the investor’s personal income tax (IRPF) or corporate income tax (IS).
    When? In the tax year in which it is received. Although there are some exceptions:

    - For EU foreign residents (residents of an EU member state), income accrued from a participatory loan will not be subject to withholding tax provided that the investor submits a certificate of residence from their country, certifying residence in an EU member state. If the investor does not submit this certificate, Domoblock will apply the 19% rate.

    -For non-EU foreign residents and in cases where the Double Taxation Agreement (DTA) in force between Spain and the investor’s country of residence establishes a tax rate lower than 19%, the investor must submit a certificate of residence. If the investor does not submit this certificate, Domoblock will apply the 19% rate.
  • The withholding obligation will arise upon the maturity date agreed in the investment contract (Whitepaper) or when the returns are credited to the investor’s account, whichever occurs first.
  • The settlement of the Domoblock withholding tax will be processed using Form 123.

5.2. Tax Obligations of the Investor

Although the primary responsibility for the taxation of income rests with Domoblock, it is important that each investor complies with their personal obligation to declare capital gains in their annual tax return. Depending on the country of residence and other income earned from loans or financial instruments, applicable tax rates may vary.

Investors must declare this income under the savings or investment income category, as capital income derived from the transfer of assets to third parties (Article 25.2 of the Spanish Personal Income Tax Law).

In the case of Spain, tax brackets are determined by law and are summarized below.

Individuals: Net taxable income and Personal Income Tax (IRPF) rates: €0–6,000 (19%), €6,000–50,000 (21%), €50,000–200,000 (23%), €200,000–300,000 (27%), over €300,000 (28%).
